R. RYAN SHAIN

Real Property, Estate Planning, Corporate Law, Tax

Ryan joined the Firm in 2009.  He heads our Southern California office and has extensive experience advising clients in real estate, corporate and estate planning matters.  Prior to joining the Firm, Ryan worked for an AmLaw 100 national law firm and the private wealth management division of a global investment firm, interned with the Internal Revenue Service’s Office of Chief Counsel, and served as a congressional intern on Capitol Hill.  Ryan leverages this broad business background to provide clients with real world solutions to their business problems.

Among Ryan’s primary areas of practice are:

  • Advising buyers and sellers through all phases of real estate transactions, including the negotiation of the sale or lease agreement, the property and title due diligence processes, secured lending matters and closing issues.  Ryan has successfully closed nearly $1 billion worth of real estate transactions.

  • Like-kind exchanges under Section 1031 of the Internal Revenue Code.

  • Estate planning, including living trusts, lifetime gifting programs, dynasty trusts and other advanced techniques aimed at reducing tax exposure while satisfying each client’s unique planning objectives.

  • Structuring and organizing limited liability companies and partnerships, with an emphasis on the special needs of real estate investors, developing companies, and family businesses.

 

Ryan received his Juris Doctorate from UC Hastings (now UC College of the Law San Francisco) in 2010, where he graduated cum laude with a specialization in taxation.  While at Hastings, Ryan received the prestigious Witkin Award for Academic Excellence by achieving the top grade in his Bankruptcy, Business Planning Seminar, Sales and Leases of Goods (UCC Article 2), Estate Drafting, and Constitutional Law II courses.  He received his Bachelor of Science in Business Administration with dual specializations in finance and marketing from American University in Washington, D.C., graduating magna cum laude.  As part of his undergraduate education, Ryan studied at CERAM School of Business in Sophia Antipolis, France, located in the heart of Europe’s emerging technology sector.
